END USER LICENSE AGREEMENT (EULA) FOR LYNAS AUDIO SAMPLE PACKS
IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE USING LYNAS AUDIO SAMPLE PACKS. BY DOWNLOADING, INSTALLING, OR USING THE LYNAS AUDIO SAMPLE PACKS, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
This End User License Agreement ("Agreement") is a legal agreement between you (referred to as "Licensee" or "You") and Lynas Audio (referred to as "Licensor" or "We") for the use of Lynas Audio sample packs (referred to as the "Sample Packs"). This Agreement governs your use of the Sample Packs and any accompanying documentation.
1. LICENSE GRANT:
Subject to the terms and conditions of this Agreement, Lynas Audio grants you a non-exclusive, non-transferable, revocable license to use the Sample Packs for your personal or professional use as a composer, musician, filmmaker, or sound designer. The license granted herein allows you to incorporate the Sample Packs into your own original compositions, recordings, or projects.
2. RESTRICTIONS:
a) You may not sell, sublicense, distribute, or transfer the Sample Packs or any part thereof to any third party, in whole or in part, without the express written consent of Lynas Audio.
b) You may not use the Sample Packs, in whole or in part, as a standalone product or create derivative works for the purpose of reselling or redistributing them.
c) You may not use the Sample Packs, in whole or in part, in a manner that infringes upon the intellectual property rights or violates any applicable laws or regulations.
d) You may not modify, reverse engineer, decompile, or disassemble the Sample Packs or any part thereof.
3. INTELLECTUAL PROPERTY RIGHTS:
Lynas Audio retains all right, title, and interest in and to the Sample Packs, including all copyrights and intellectual property rights therein. This Agreement does not transfer ownership of the Sample Packs or any accompanying documentation to you.
4. DISCLAIMER OF WARRANTY:
THE SAMPLE PACKS ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LYNAS AUDIO DOES NOT WARRANT THAT THE SAMPLE PACKS WILL MEET YOUR REQUIREMENTS OR THAT THEIR USE WILL BE UNINTERRUPTED OR ERROR-FREE.
5. LIMITATION OF LIABILITY:
IN NO EVENT SHALL LYNAS AUDIO BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) ARISING IN ANY WAY OUT OF THE USE, MISUSE, OR INABILITY TO USE THE SAMPLE PACKS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
6. TERMINATION:
This Agreement is effective until terminated. Lynas Audio may terminate this Agreement immediately without notice if you fail to comply with any of the terms and conditions set forth herein. Upon termination, you shall cease all use of the Sample Packs and destroy all copies, whether in digital or physical format.
7. GENERAL PROVISIONS:
a) This Agreement constitutes the entire agreement between you and Lynas Audio concerning the subject matter hereof and supersedes any prior agreements, oral or written, with respect to such subject matter.
b) This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Lynas Audio is located, without regard to its conflict of laws principles.
c) Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in the
jurisdiction in which Lynas Audio is located.
d) If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
e) The failure of Lynas Audio to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
BY DOWNLOADING, INSTALLING, OR USING THE LYNAS AUDIO SAMPLE PACKS, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
